Terms of Service
These Terms set out the responsibilities, rights, and safeguards for organizations using ReadPrompt.
1. Agreement to these Terms
These Terms of Service ("Terms") govern your access to and use of the Services provided by READPROMPT PRIVATE LIMITED ("ReadPrompt", "we", "us", or "our"). By creating an account, accessing, or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
2. Accounts and access
You must provide accurate account information, keep credentials and API keys confidential, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for ensuring that users you invite comply with these Terms.
You may not share credentials outside your organization, circumvent access controls, or use the Services in a way that interferes with other customers or the platform.
3. Customer Content and prompts
You retain ownership of prompts, configurations, variables, outputs, and other content you submit to the Services ("Customer Content"). You grant ReadPrompt a limited, non-exclusive right to host, process, transmit, and display Customer Content only as necessary to provide, secure, support, and improve the Services as described in the Privacy Policy.
You are responsible for Customer Content and represent that you have all rights, permissions, and lawful bases needed to submit it and instruct us to process it. Do not submit content that is unlawful, infringes another party's rights, contains malware, or violates these Terms.
4. Third-party model providers
The Services may route a request to third-party model providers according to the model targets and routing configuration you choose. Provider availability, model behavior, output quality, and provider terms may change. ReadPrompt does not control third-party services and is not responsible for their acts, omissions, or independent terms and policies.
You must not use the Services in a manner that breaches a third-party provider's acceptable-use requirements or applicable law.
5. Acceptable use
You must not use the Services to:
- Break the law or violate the rights, privacy, or safety of others.
- Develop, distribute, or facilitate malware, credential theft, fraud, or harmful automation.
- Probe, scan, overload, bypass, or disrupt the Services or their security controls.
- Reverse engineer the Services except where applicable law expressly permits it.
- Use the Services for high-risk decisions about people without appropriate human review and controls.
- Use another customer’s account, API key, workspace, or data without authorization.
6. Fees and taxes
Any fees, usage limits, credits, payment timing, and taxes will be shown in the applicable plan, order form, or separate written agreement. Unless stated otherwise, fees are non-refundable and payable in the currency and time period shown at purchase. You are responsible for applicable taxes other than taxes based on ReadPrompt's net income.
7. Service changes and availability
We may modify, maintain, or discontinue parts of the Services, including providers, models, features, and limits. We will use reasonable efforts to avoid material disruption, but the Services may be unavailable due to maintenance, provider outages, internet failures, or events outside our reasonable control.
8. ReadPrompt intellectual property
ReadPrompt and its licensors own the Services, software, documentation, branding, and related intellectual property, excluding Customer Content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription or authorized access period.
9. Disclaimers
The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not guarantee that outputs will be accurate, complete, lawful, non-infringing, or fit for a particular purpose. AI-generated outputs may be incorrect or unexpected, and you must review them before relying on or presenting them as fact.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunity. ReadPrompt's total liability arising from or related to the Services will not exceed the amounts paid by you to ReadPrompt for the Services in the 12 months before the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access where reasonably necessary to protect the Services, comply with law, address non-payment, or investigate a breach of these Terms. On termination, your right to use the Services ends, subject to any export, retention, or deletion rights described in the Privacy Policy and any separate agreement.
12. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts located in Pune, Maharashtra, India will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, except where applicable law requires another forum.
13. Changes to these Terms
We may update these Terms from time to time. The revised Terms will be posted here with an updated "Last updated" date. If a change is material, we will provide additional notice where required by law. Your continued use after the effective date of updated Terms constitutes acceptance of the revised Terms.
